1. Acceptance and scope

These Terms of Service (the "Terms") form a legally binding agreement between you and NovaSpan LLC ("ApiFlux," "we," "us," or "our"). They apply to the ApiFlux website, account system, console, API Keys, balances, credits, model calls, routing services, documentation, and related products and services.

By visiting the website, registering an account, creating or using an API Key, adding funds, redeeming credit, calling an API, or otherwise using ApiFlux, you confirm that you have read and accepted these Terms, the Privacy Policy, the Acceptable Use Policy, and the Payment, Supported Regions, Customer Support, and Security Notice.

If you act for a company, institution, or other organization, you represent that you have authority to accept these Terms for that organization. In that case, "you" includes the organization and the person acting for it.

If you do not agree to these Terms, do not use ApiFlux.

2. Service description

ApiFlux is an AI gateway and routing service. Depending on the applicable page, account, model, region, and configuration, ApiFlux may provide:

  • Access to multiple third-party AI models or provider channels through unified interfaces, including OpenAI-compatible, Anthropic-compatible, and other supported protocols;
  • API Key, account, balance, top-up, credit, and usage management;
  • Model selection, routing, automatic failover, rate limits, token limits, and policy controls;
  • Logs and observability for requests, usage, latency, errors, cost, routing, and provider status;
  • Documentation, integration guides, developer tools, and other features introduced from time to time.

Available models, protocols, functions, prices, regions, rate limits, context windows, provider channels, and technical requirements are those displayed on the relevant website page, model page, console, documentation page, or order page at the time of use. Some features may be limited to particular users, plans, regions, risk categories, or enterprise agreements.

ApiFlux may add, modify, limit, pause, or discontinue a model, provider channel, protocol, feature, or region for product, security, cost, upstream, legal, compliance, or operational reasons.

3. Third-party models and services

ApiFlux may connect to or route requests through third-party model, API, cloud, hosting, payment, authentication, security, and infrastructure providers (collectively, "Upstream Services"). Upstream Services may include Anthropic, OpenAI, Google, AWS, Microsoft, Mistral, Cohere, Hugging Face, Groq, Meta ecosystem providers, and other providers shown on the relevant model page or console.

Unless NovaSpan LLC expressly states otherwise in a separate written agreement, ApiFlux is not an official agent, authorized reseller, partner, joint operator, or representative of an Upstream Service. The appearance of a provider name or model on ApiFlux does not create a partnership, endorsement, authorization, or guarantee of access.

Upstream model names, capabilities, content policies, prices, rate limits, context lengths, regional restrictions, availability, and commercial terms may change at any time. ApiFlux may select or switch a provider channel based on user configuration, price, latency, availability, compliance, security policy, routing policy, or failover rules. Unless separately agreed in writing, ApiFlux does not guarantee that a request will be handled by a particular model version, provider, channel, region, account, or infrastructure.

You must comply with the terms, licenses, acceptable-use rules, content policies, regional restrictions, and commercial requirements of the Upstream Service actually used. If these Terms conflict with an upstream requirement, the more restrictive legally valid requirement applies.

4. Eligibility and account information

You must be at least 18 years old and must have reached the legal age to enter a contract where you live. You must have legal capacity to enter these Terms.

You must provide true, accurate, complete, and current information when creating and using an account. You must update information that becomes inaccurate or incomplete. We may require email verification, two-factor authentication, identity verification, business verification, payment verification, or other information needed for security, fraud prevention, compliance, billing, or enterprise procurement.

You may not create an account using a false identity, impersonate another person or organization, evade a suspension, or create multiple accounts to abuse trials, credits, promotions, referral benefits, limits, or risk controls.

5. Account and API Key security

You are responsible for protecting your account credentials, passwords, API Keys, access tokens, redemption codes, devices, and recovery methods. You must not publish, sell, rent, transfer, or share them with an unauthorized person.

You must use separate API Keys for separate applications or environments where reasonably practical, apply appropriate limits, and promptly revoke or rotate a credential that may have been exposed. API Keys must not be placed in public browser code, public repositories, screenshots, support messages, or client-side applications where end users can extract them.

Activity, requests, and charges made through your account or credentials are generally your responsibility, except to the extent caused by our proven failure to apply reasonable security measures or as otherwise required by law.

If you detect a compromised credential, suspicious login, unknown request, or balance anomaly, immediately revoke or rotate the relevant credential and email [email protected] with the subject line Urgent Security.

6. User Content and data processing

"User Content" means prompts, messages, context, parameters, files, images, audio, code, tool calls, model responses, and other content submitted to, transmitted through, or generated by ApiFlux in connection with your use.

You retain the rights you lawfully hold in your User Content. You grant ApiFlux and the service providers necessary to operate the service a limited, non-exclusive right to host, copy, transmit, process, display, and otherwise handle User Content only as reasonably necessary to provide, secure, maintain, troubleshoot, bill, support, and improve the service, comply with law, and enforce these Terms and related policies.

This authorization does not transfer ownership of your User Content to ApiFlux. You represent that you have the rights, permissions, notices, consents, and lawful basis required to submit and process the User Content and to permit the service to process it as described in the Privacy Policy.

You must not submit passwords, private keys, full API Keys, payment credentials, government identification, health information, biometric information, children's information, trade secrets, regulated data, or third-party confidential information unless you have the right to do so and have completed the required legal, security, privacy, and contractual review.

The Privacy Policy describes default content handling, optional prompt logging, retention, disclosures, and the role of selected Upstream Services. A selected Upstream Service may have its own data practices and may act as an independent controller under its own terms.

7. Acceptable use

You must use ApiFlux only for lawful, authorized, and responsible purposes. You must comply with the Acceptable Use Policy, applicable law, sanctions and export-control rules, and the requirements of the Upstream Service actually used.

You must not use ApiFlux to:

  • Conduct unlawful, fraudulent, infringing, harmful, abusive, deceptive, or regulatory-evasion activity;
  • Bypass ApiFlux or upstream security measures, content policies, authentication, permissions, rate limits, token limits, regional restrictions, payment rules, or commercial restrictions;
  • Access, scan, test, interfere with, or damage ApiFlux, an Upstream Service, or another person's system without authorization;
  • Create accounts in bulk, use stolen payment methods, abuse chargebacks, farm promotions, or manipulate referral benefits;
  • Publicly expose, sell, rent, transfer, or share accounts, balances, credits, redemption codes, or API Keys without written authorization;
  • Use AI output as the sole basis for a high-impact medical, legal, financial, credit, employment, education, housing, immigration, insurance, law-enforcement, or personal-safety decision.

The Acceptable Use Policy contains additional rules and enforcement measures.

8. Fees, balances, credits, and taxes

ApiFlux may charge by model, input tokens, output tokens, cached tokens, request, channel, feature, plan, or another method displayed on the applicable page. The price, unit, minimum top-up, currency, promotion, credit rule, and restriction shown on the relevant console, model page, or order page at the time of the transaction controls that transaction.

You authorize ApiFlux and its payment processors to process payments necessary for the transaction. You are responsible for applicable taxes, bank charges, payment fees, and foreign-exchange costs unless the checkout page or a written agreement states otherwise.

Unless expressly stated otherwise, a prepaid balance is a limited service credit. It is not a bank deposit, electronic money, security, investment, or promise of future access to a particular model. It earns no interest, cannot be transferred or redeemed for cash, and may be subject to the rules in the Payment Notice.

Billing is generally based on ApiFlux system records for the model, channel, input and output tokens, cache, request result, retries, and applicable price. A request may incur a charge when an Upstream Service has processed tokens, streaming has begun, or processing has otherwise started, even if the final response is incomplete. User-initiated retries are new calls and may be charged separately.

The Payment, Supported Regions, Customer Support, and Security Notice governs top-ups, promotional credits, referral benefits, refunds, billing disputes, chargebacks, and payment support.

9. Intellectual property

The ApiFlux website, console, user interface, software, documentation, trademarks, logos, designs, and related content are owned by NovaSpan LLC or its licensors and are protected by applicable intellectual-property law.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use ApiFlux for its intended purpose. These Terms do not grant you any right to copy, modify, reverse engineer, scrape, resell, distribute, or create derivative works from ApiFlux except as expressly permitted by law or in writing.

You may provide suggestions or feedback. Unless otherwise agreed in writing, you grant NovaSpan LLC the right to use feedback without restriction or payment, provided that this does not give NovaSpan LLC ownership of your confidential information or User Content.

10. Availability, maintenance, and changes

We take reasonable steps to operate and maintain ApiFlux, but we do not guarantee permanent availability, uninterrupted access, particular latency, error-free operation, a specific failover time, a particular model quality, or suitability for a particular purpose.

Service performance may be affected by maintenance, Upstream Service failures, network problems, traffic spikes, payment problems, risk controls, attacks, legal requirements, provider restrictions, or events outside our reasonable control.

Unless separately agreed in a signed written Service Level Agreement, ApiFlux does not promise a particular uptime, response time, recovery time, model version, provider route, or failover result.

11. Suspension and termination

You may stop using ApiFlux and request account closure through the available console functions. Before closure, you should export records you need and resolve outstanding balances and disputes.

We may limit, reject, delay, filter, reroute, suspend, or terminate an account, API Key, model, request, balance, credit, payment method, feature, or region if we reasonably believe that:

  • You violated these Terms, the Acceptable Use Policy, or an Upstream Service requirement;
  • There is fraud, abuse, a chargeback, unpaid amount, payment risk, security risk, legal risk, sanctions risk, or compliance risk;
  • Continued activity may harm ApiFlux, another user, an Upstream Service, or a third party;
  • Emergency action is reasonably necessary to protect users, the service, or the public.

We may act without advance notice where necessary to prevent ongoing harm, comply with law, respond to an Upstream Service, or protect security. After termination, the right to use the service ends immediately. Accrued payment obligations, intellectual-property provisions, disclaimers, liability limits, dispute provisions, indemnities, and provisions that by their nature should survive remain effective.

Balances, promotional credits, refunds, and withdrawals are handled under the Payment Notice and applicable law. Suspension or termination does not automatically create a right to a refund.

12. AI output and disclaimers

AI models may generate inaccurate, incomplete, outdated, biased, infringing, unsafe, or offensive content. Identical inputs may produce different results. You must independently review and verify output before relying on, publishing, or providing it to another person.

You are responsible for your prompts, configuration, use of output, end-user notices, human review, and decisions made with or based on output. ApiFlux does not provide medical, legal, financial, tax, compliance, security, or other professional advice through model output.

To the maximum extent permitted by law, ApiFlux is provided "as is" and "as available." We disclaim express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, and performance of any Upstream Service. Warranties that applicable law does not permit us to exclude remain unaffected.

13. Limitation of liability

To the maximum extent permitted by law, NovaSpan LLC and its affiliates, officers, employees, contractors, suppliers, and licensors are not liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profit, revenue, goodwill, business opportunity, data, anticipated savings, or business interruption, arising from or related to ApiFlux or an Upstream Service.

To the maximum extent permitted by law, the total aggregate liability of NovaSpan LLC arising from or related to ApiFlux or these Terms will not exceed the greater of: (a) the fees actually paid by you for the relevant ApiFlux service during the twelve months before the event giving rise to the claim; or (b) USD 100.

These limits do not apply to liability that cannot be limited under applicable law, including liability for fraud, willful misconduct, or personal injury where such limitation is prohibited.

14. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless NovaSpan LLC and its affiliates, officers, employees, contractors, suppliers, and licensors from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from or related to:

  • Your User Content;
  • Your unlawful, prohibited, negligent, or unauthorized use of ApiFlux;
  • Your violation of these Terms, the Acceptable Use Policy, an Upstream Service requirement, or applicable law;
  • Your infringement or violation of another person's rights;
  • Claims by your end users or customers arising from your product, service, or decisions.

We will provide reasonable notice of an indemnified claim and reasonably allow you to participate in the defense. A settlement may not impose an admission of liability or continuing obligation on us without our written consent.

15. Disputes and governing law

These Terms are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-laws rules, except where mandatory law provides otherwise.

Unless mandatory law provides otherwise, you and NovaSpan LLC consent to the exclusive jurisdiction of the state courts located in Sheridan County, Wyoming, or the United States District Court for the District of Wyoming where it has jurisdiction. Mandatory consumer-protection, privacy, or other rights that cannot lawfully be waived remain unaffected.

Before filing a claim, the parties should first attempt in good faith to resolve the issue by emailing [email protected] with the subject line Legal Notice or Dispute, as applicable. This informal step does not prevent a party from seeking urgent injunctive relief or exercising a non-waivable legal right.

16. Updates and general terms

We may update these Terms for product, legal, security, operational, or Upstream Service changes. We will state the update date on the page. Where reasonably practicable, we will notify users of a material adverse change through the website, console, or registered email address. Continued use after the effective date constitutes acceptance of the updated Terms where permitted by law. If you disagree, stop using ApiFlux and close your account.

These Terms and the policies incorporated into them are the entire agreement about ApiFlux unless a signed enterprise agreement, DPA, SLA, or order document expressly states otherwise. If an enterprise agreement conflicts with these Terms, the written enterprise agreement controls for that customer and subject matter.

You may not assign these Terms without our prior written consent. We may assign them in connection with a reorganization, merger, asset sale, financing, or transfer within our corporate group.

If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. Headings are for convenience and do not control interpretation.
